1. Introduction

Welcome to HypeKrew. These Terms of Service ("Terms") govern your access to and use of the services, website, and web application (collectively, the "Service") provided by HypeKrew Software Private Limited, a company incorporated under the laws of India, having its registered office in Chennai, India ("HypeKrew," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

2. Relationship with YouTube and Google

Our Service uses YouTube API Services to function. By using HypeKrew, you acknowledge and agree that you are also bound by the following third-party terms:

  1. YouTube Terms of Service: You agree to be bound by the YouTube Terms of Service, which can be found at https://www.youtube.com/t/terms.
  2. Google Privacy Policy: You acknowledge that your use of the Service is subject to the Google Privacy Policy, found at http://www.google.com/policies/privacy.

2.1. Compliance and Liability Disclaimer

HypeKrew makes commercially reasonable efforts to ensure that our Service and its features remain compliant with the YouTube Terms of Service, Google API Services User Data Policy, and applicable Developer Policies.

However, you acknowledge and agree that:

  • YouTube and Google policies are subject to change at any time without notice.
  • The interpretation of "spam," "deceptive practices," or "policy violations" is at the sole discretion of YouTube and Google.
  • HypeKrew expressly disclaims any and all liability for any punitive actions taken against your YouTube channel, Google account, or content by YouTube, Google, or any other third-party platform.
  • Such punitive actions may include, but are not limited to: content removal, channel strikes, demonetization, shadow-banning, suspension, termination of your YouTube channel, or termination of your Google account.

YOU USE THIS SERVICE ENTIRELY AT YOUR OWN RISK. WE SHALL NOT BE LIABLE FOR ANY LOSS OF REVENUE, DATA, SUBSCRIBERS, OR CHANNEL STANDING RESULTING FROM YOUR USE OF HYPEKREW, EVEN IF WE HAVE ADVISED YOU ON BEST PRACTICES.

3. Description of Service

HypeKrew provides a web-based platform designed to assist YouTube Content Creators in engaging with their audience. The Service features include, but are not limited to:

  • Collection and storage of subscriber email addresses and push notification tokens.
  • Automated sending of push and email notifications.
  • Embedding YouTube videos to track subscriber watch behavior and analytics.

We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice.

4. Account Registration

To access the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. You are responsible for safeguarding your password and for all activities that occur under your account.

You must be at least 18 years of age or the age of majority in your jurisdiction to use this Service.

5. Subscriptions, Payments, and Refunds

5.1. Free Trial

We offer a 14-day free trial for new users. You are required to provide payment information to start the trial. Unless you cancel your subscription before the end of the 14-day period, your account will automatically renew into the paid plan you selected during sign-up.

5.2. Billing Cycle

You may choose between a Monthly or Yearly billing cycle. Fees are billed in advance.

5.3. Refunds

If you choose to cancel your subscription after the billing cycle has commenced, you are eligible for a pro-rated refund for the unused portion of your subscription term. To request a refund, you must contact cancellations@hypekrew.com. Refunds are processed within a reasonable timeframe to the original method of payment.

6. User Conduct and Acceptable Use

You are solely responsible for the content of the notifications (emails and push messages) you send via our Service. You agree strictly NOT to use the Service to:

  1. Violate YouTube Policies: Send content or promote videos that violate the YouTube Community Guidelines.
  2. Spam: Send unsolicited messages, "junk mail," "chain letters," or spam in violation of applicable anti-spam laws.
  3. Prohibited Content: Transmit content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, sexually explicit (adult content), or hateful.
  4. Malware: Transmit viruses, worms, defects, Trojans, or any items of a destructive nature.
  5. Phishing: Attempt to collect personal information (such as passwords or credit card details) deceptively.

6.1. Content Monitoring and Scanning

You acknowledge and agree that HypeKrew reserves the right, but has no obligation, to monitor, scan, and analyze any content created, uploaded, or transmitted by you through the Service, including but not limited to the text and links contained within email and push notifications.

By agreeing to these Terms, you explicitly grant HypeKrew the right to scan such content for the purposes of:

  1. Detecting malware, viruses, or malicious links.
  2. Verifying compliance with these Terms of Service.
  3. Ensuring compliance with YouTube Community Guidelines and anti-spam regulations.

We reserve the right to block the transmission of any content that we detect as malicious or in violation of these Terms.

6.2. Rate Limiting

Your use of the Service is subject to rate limits (e.g., number of emails or notifications sent per day) based on your selected subscription plan. Attempting to bypass these limits is a violation of these Terms.

7. Intellectual Property and Data

Your Data: You retain all rights to the subscriber data (emails, tokens) you collect. You grant HypeKrew a license to store and use this data solely for the purpose of providing the Service to you.

Our IP: HypeKrew Software Private Limited retains all rights, titles, and interests in the Service, including our software, logos, and trademarks.

8. Termination

8.1 Termination by You

You may terminate your subscription and account at any time. To do so, you must send an email to cancellations@hypekrew.com.

  • Important: This email must be sent from the registered email address associated with your HypeKrew account to verify ownership.

8.2 Termination by Us

We may suspend or terminate your access to the Service immediately and without notice if:

  1. You violate these Terms.
  2. You violate the YouTube Terms of Service or Community Guidelines.
  3. We are required to do so by law.

Upon termination for violation of terms, you will not be entitled to a refund.

9. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HYPEKREW SOFTWARE PRIVATE LIMITED DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE MAKE NO GUARANTEES REGARDING RESULTS. WE DO NOT WARRANT THAT USE OF THE SERVICE WILL RESULT IN INCREASED VIEWS, SUBSCRIBERS, OR ENGAGEMENT ON YOUR YOUTUBE CHANNEL.

9.1. Third-Party Platform Risks

We do not warrant that the Service will remain compatible with the YouTube API or Google services indefinitely. We are not responsible for any service interruptions, bugs, or data loss caused by changes to third-party APIs or terms of service. You assume full responsibility for any risks associated with linking your YouTube channel to third-party applications.

10. Limitation of Liability

IN NO EVENT SHALL HYPEKREW SOFTWARE PRIVATE LIMITED BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

  1. LOSS OF PROFITS, DATA, USE, OR GOODWILL.
  2. ANY PUNITIVE ACTIONS TAKEN BY THIRD PARTIES (INCLUDING YOUTUBE OR GOOGLE) AGAINST YOUR ACCOUNT.
  3. ANY DAMAGES ARISING OUT OF YOUR ACCESS TO OR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO HYPEKREW IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless HypeKrew Software Private Limited and its officers, directors, and employees from any claims, damages, liabilities, and expenses (including legal fees) arising out of your use of the Service, your violation of these Terms, or your violation of the YouTube Terms of Service.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts located in Chennai, India.

13. Beta Services

From time to time, we may invite you to try "Beta," "Pilot," or "Early Access" features or a version of the Service that is not generally available to all users ("Beta Services"). You may choose to use Beta Services at your sole discretion.

13.1. No Charge

Beta Services are currently provided free of charge. However, HypeKrew reserves the right to introduce pricing for these services at any time. We will provide you with reasonable notice (e.g., via email or in-app notification) before converting any free Beta Service into a paid subscription. You will have the opportunity to cancel your account before any charges are incurred.

13.2. As-Is Status

Beta Services are for evaluation purposes and may contain bugs, errors, or other defects. Beta Services are provided entirely "AS-IS" and "AS AVAILABLE," with no warranties of any kind. We are not responsible for any data loss, corruption, or service interruptions that occur during the use of Beta Services.

13.3. Feedback

By using Beta Services, you agree to provide feedback, suggestions, or error reports ("Feedback"). You grant HypeKrew a perpetual, irrevocable, royalty-free license to use such Feedback for any purpose without compensation to you.
